1. Introduction

Timqo Time s.r.o., located at Za farou 844/15, 154 00, Prague, Czech Republic, ID. No. 07267932, registered with the commercial register of the Municipal Court in Prague, Section C, insert 298069 (“Timqo Time”, “we”, “us”, or “our”), provides the Timqo app accessible at https://timqo.com.

These Terms of Service govern your use of our service. As used in these Terms of Service, "our Service" or "the Service" means the Timqo app accessible at https://timqo.com.

by registering your account or using the Service, you enter into a binding agreement with Timqo Time and acknowledge and agree to have read, understood and agreed to the terms and conditions of these Terms of Service set out below (including the Privacy policy and Cookie policy).

2. Our Service

The Service allows you to define tasks and record and report the time spent doing them.

Subject to terms and conditions set out below, Timqo Time grants you limited, non-exclusive, revocable permission to make use of the Service. the Timqo app is not sold or transferred to you, and Timqo Time and its licensors retain ownership of all copies of the app.

To use the Service, you must have Internet access and meet further conditions set out below.

You must register an account via the Timqo registration site in order to use the Service. The user who created the account has access and control over the account and is responsible for any activity that occurs through the account. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold in order to protect you, Timqo Time or our partners from identity theft or other fraudulent activity.

3. Price and Payment

Service Options. Certain options are provided to you free-of-charge. the Service that does not require payment is hereinafter referred to as the “Free Service”. Other options require payment before you can access them (the “Paid Subscription”). You may start using the Free Service or you may choose one of the Paid Subscription plans.

You may be eligible for a free trial period, if you choose a Paid Subscription plan. the free trial period is intended to allow new users and certain former users to try the Service in the variant accessible to users that have a Paid Subscription. Free trial eligibility is determined by Timqo Time at its sole discretion and we may limit its eligibility or duration to prevent free trial abuse. We will charge a fee for the next billing cycle to your Payment Method at the end of the free trial period unless you cancel the Paid Subscription prior to the end of the free trial period.

"Payment Method" means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party. Unless you cancel the Paid Subscription before your billing date, you authorise us to charge the fee for the next billing cycle to your Payment Method.

Billing Cycle. the fee for the Service will be charged to your Payment Method on the specific billing date indicated on your "Account" page. the length of your billing cycle will depend on the type of subscription that you choose. in some cases your payment date may change, for example if your Payment Method has not been successfully processed or if your paid Service began on a day not contained in a given month.

Cancellation. Your payment may automatically renew at the end of the applicable subscription period, unless you cancel your Paid Subscription before the end of the then-current subscription. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the Free Service.

You can cancel your Service and your account at any time, and you will continue to have access to the Service through the end of your billing period.

Payments are non-refundable and we do not provide refunds.

Changes to the Price and Subscription Plans. We may change our subscription plans and the price of our Service from time to time; however, any price changes or changes to your subscription plans will apply no earlier than 30 days following notice to you.

4. Service limitations and modifications

Timqo Time will make reasonable efforts to keep the Service operational. However, certain technical difficulties, maintenance or testing, or updates required to reflect changes in relevant laws and regulatory requirements, may, from time to time, result in temporary interruptions. Timqo Time reserves the right, periodically and at any time, to modify or discontinue, temporarily or permanently, functions and features of the Service, with advance notice where possible, all without liability to you, except where prohibited by law, for valid reasons such as in case of genuine interruption, modification, or discontinuation of the Service or any function or feature thereof, or need to repair, maintain or improve the existing functions or features, or to add new functions or features to the Service, or to implement advancements in science and technology or ensure the operability or the security of the Service, or for legal and regulatory reasons.

5. Warranty disclaimer and limitation

You understand and agree that the Service is provided “as is” and “as available,” without express or implied warranty or condition of any kind. Timqo Time makes no representations and disclaims any warranties or conditions of satisfactory quality, merchantability, fitness for a particular purpose, or non-infringement. Timqo Time makes no representation nor does it warrant, endorse, guarantee, or assume responsibility for any third party applications (or the content thereof), user content, devices or any other product or service advertised, promoted or offered by a third party on or through the Service or any hyperlinked website, or featured in any banner or other advertising and Timqo Time is not responsible or liable for any transaction between you and third party providers of the foregoing.

No advice or information whether oral or in writing obtained by you from Timqo Time shall create any warranty on behalf of Timqo Time.

You agree that your sole and exclusive remedy for any problems or dissatisfaction with the Service is to stop using the Service. You agree that Timqo Time has no obligation or liability arising from or related to third party applications or the content thereof made available through or inth connection with the Service, and while your relationship with such third party applications may be governed by separate agreements with such third parties, your sole and exclusive remedy, as with respect to Timqo Time, for any problems or dissatisfaction with third party applications or the content thereof, is to uninstall and/or stop using any such third party applications.

In no event will Timqo Time, its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns, suppliers, or licensors be liable for:
(1) any loss or damage (including any indirect, special, incidental, punitive or exemplary, damages) which is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might; (2) any: (a) loss of use; (b) loss of data; (c) loss of business; (d) loss of profits; or(e) damage to devices, to the extent you could have avoided such damage by following our advice to apply updates to the services or content or if such damage is caused by you failing to correctly follow installation instructions or have in place the minimum system requirements advised by us.

Nothing in these Terms of Service removes or limits Timqo Time's liability for damage caused to man's natural rights, or intentionally or through gross negligence.

This section applies to the fullest extent permitted by applicable law.

This section does not affect your statutory rights as a consumer.

6. Miscellaneous

Governing Law and Jurisdiction. These Terms of Service shall be governed by and construed in accordance with the laws of the Czech Republic. Furthermore, you and Timqo Time agree to the jurisdiction of the courts of the Czech Republic.

Severability and waiver. Unless as otherwise stated in these Terms of Service, should any provision of these Terms of Service be held invalid or unenforceable for any reason or to any extent, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of these Terms of Service, and the application of that provision shall be enforced to the extent permitted by law.
Any failure by Timqo Time or any third-party beneficiary to enforce any provision of these Terms of Service shall not waive Timqo Time's or the applicable third-party beneficiary's right to do so.

Language. The contract is concluded in English. the contract may also be concluded in the Czech language.

Codes of Conduct. Timqo Time is not bound by any code of conduct.

Privacy and cookies. Timqo Time respects your privacy. Please have a look at our Privacy Policy and Cookies Policy for further information. Should you enter personal data of other persons into the Timqo app, such personal data shall be processed by Timqo as the processor and you shall be the data controller. in such case, the Terms for the processing of personal data by Timqo Time as the processor as stated in Annex 1 to the Privacy Policy shall apply. in Timqo, you work within virtual spaces called "Organisations". in these spaces, various data can be entered, recorded, used or otherwise manipulated. Every organisation has one particular User, identified in the Organisation as the “Organisation Owner”, that has legal control over, and is responsible for, Organisation Data. that User is also the 'controller' of all data maintained within the organisation. Timqo processes these data on the Organisation Owner's behalf and is thus considered to be the 'processor' of that data. In such case, the Terms for the processing of personal data by Timqo Time as the processor as stated in Annex 1 to the Privacy Policy shall apply.

Assignment. Timqo Time may assign the agreement concluded with you, and any of its rights, in whole or inth part, and Timqo Time may delegate any of its obligations. You may not assign the agreement concluded with Timqo Time, in whole or in part, nor transfer or sub-license your rights to any third party.

Agreement. The agreement between you and Timqo Time is concluded and is archived in electronic form only. The individual technical steps leading to the conclusion of the contract are given at https://timqo.com.

Changes. Timqo Time reserves the right to change the contents of these Terms of Service. the updated version of these Terms of Service shall always be published at https://timqo.com/terms-of-service. the information on changes to the Terms of Service shall be advised by sending the relevant information together with the updated wording of the Terms of Service to your e-mail address or by another appropriate written notice. Such a change shall enter into force upon expiry of the deadline set by Timqo Time, which shall be at least 30 days from the date when you were notified of the change in the Terms of Service. if you do not agree with the relevant change of these Terms of Service, you are entitled to terminate the Service no later than 5 days before the relevant change becomes effective.

7. Consumer rights

This section only applies, if you enter into the contract with Timqo Time as a consumer.

You are a consumer if you are a natural person who concludes a contract with Timqo Time or otherwise acts outside the scope of your business or outside the independent exercise of your profession.

The consumer has the right to withdraw from the contract within 14 days of the conclusion of the contract only if performance has not been started. You acknowledge that by concluding a contract with Timqo Time, you express your explicit consent with the provision of the Service before the expiry of the withdrawal period and you are further aware that you have no right to withdraw from the contract in such case.

Timqo Time shall provide the Service of a quality reasonably expected taking into account its nature, purpose, remuneration for their provision and conditions of use.

You are entitled to claim defects of the Service within 10 days from the date of occurrence of the respective defect, by e-mail to support@timqo.com. You are obliged to specify in the complaint exactly what the claimed defect is and at the same time state the time period during which the defect occurred.

Timqo Time is obliged to deliver to you a confirmation of the claim. if it is not possible to deliver the confirmation immediately, it shall be delivered without undue delay, however, together with the document proving the claim settlement.

If the complaint (claim) regarding Paid Subscription Service is justified, Timqo Time shall provide you with a discount in the form of extension of the Service provision for the period during which you were not provided with the Service (due to defects). if the complaint (claim) regarding Free Service is justified, Timqo Time shall provide you with Free Service for a further period. Timqo Time shall inform you about the settlement of the complaint (claim) within 30 days.

If you are not satisfied with the way in which Timqo Time has settled your claim or if you believe that Timqo Time has violated your rights, you may contact Timqo Time for redress. if Timqo Time responds negatively to the redress or does not respond within 30 days, you have the right to apply for an out-of-court settlement of this dispute.

The competent body for out-of-court settlement of consumer disputes with Timqo Time is the Czech Trade Inspection, located at Štěpánská 567/15, 120 00 Prague 2 or another entity authorised by the Ministry of Industry and Trade of disputes led by the Ministry of Industry and Trade of the Czech Republic; the consumer has the right to choose which of the above out-of-court consumer dispute resolution bodies to turn to. You can also file a complaint with the European Online Dispute Resolution Platform.
